The Giving Groove
Terms of Service
Effective: July 6, 2026
Acceptance and Scope
These Terms of Service ("Terms") govern your use of Giving Groove LLC Artifact Registrar, the Ledger, the Chamber, the ownership transfer protocol, event upload features, and all related services (together, the "Registrar System") operated by Giving Groove LLC d/b/a The Giving Groove ("TGG," "we," "us"), Philadelphia, Pennsylvania, USA. By registering an artifact, joining a transfer, uploading content, or otherwise using the Registrar System, you agree to these Terms and to our Privacy Policy.
Purchases are separate. Physical products purchased through our online store are sold and fulfilled through Limited Run and its payment processors under their own terms, or through independent record retailers. These Terms govern the Registrar System only, not the sale, shipping, or return of physical goods.
Eligibility
You must be at least 18 years old to register an artifact, join or complete an ownership transfer, upload content, or otherwise use the Registrar System.
Artifact Registration
- You must provide accurate information at registration, including a valid email address that you control. Email verification is required before registration completes.
- Each artifact has exactly one current registered owner at any time.
- Collector Handle. Your Handle is chosen once, is displayed publicly on the Ledger, and is permanent. It cannot be changed after registration. Do not choose a Handle that impersonates another person, infringes any right, or is unlawful, hateful, or obscene. We may refuse, redact, or replace a Handle that violates this section; a redacted Handle does not break the provenance chain.
- Registering an artifact you do not physically possess and lawfully own, or registering with fabricated information, is prohibited.
The Passkey
At registration a transfer credential (the "Passkey") is generated and delivered to you exactly once, by email. We do not store your Passkey in any retrievable form and cannot recover, reset, or reissue it under any circumstances. This is a deliberate design feature of the provenance system, not a limitation we can waive.
- Loss of your Passkey permanently ends your ability to transfer the artifact's registration. The physical artifact remains yours; access to the Chamber via the artifact is unaffected; but the provenance chain can never again be extended.
- If you ask us to delete your email address from our records, email-based transfer verification also becomes impossible, with the same effect on transferability.
- You accept these consequences by registering. TGG is not liable for any loss of transferability resulting from a lost Passkey, a lost or deleted Certificate of Authenticity email, or your deletion request.
The Ledger
The Ledger is a permanent public record of artifact provenance. By registering, you consent to the permanent public display of your Collector Handle, your artifact's ID, copy number, and registration date. Ledger entries are never altered or erased; this permanence is a core feature of the product. Personal information such as your name and email address is never displayed on the Ledger.
Ownership Transfers
- Transfers are executed only through the Registrar System's co-presence protocol and require the current owner's Passkey. Completed transfers are atomic, final, and irreversible.
- TGG is not a party to any sale. The Registrar System records changes of registration; it does not process payment, hold funds, provide escrow, verify the terms of any underlying sale or gift, or mediate disputes between collectors. Any sale, trade, or gift of the physical artifact is solely between the collectors involved.
- Initiating or joining a transfer you are not authorized to make, or circumventing transfer safeguards, including same-device prevention, is prohibited.
The Chamber and Licensed Content
Registered owners receive a limited, personal, non-commercial, non-transferable except via the transfer protocol, revocable-for-breach license to access and stream the content made available in the Chamber for their artifact. All music, images, video, and other content remain the property of the respective artists, labels, and licensors.
- You may not download, copy, redistribute, publicly perform, or commercially exploit Chamber content except where a download or share function is expressly provided.
- Chamber access is permanent for registered owners. Certain features — contests, live events, and limited-time content — are temporary by design and conclude on their own terms; their conclusion is not a removal of Chamber content. We may remove or change Chamber content when necessary for legal, rights, security, technical, or similar operational reasons.
Fan-Submitted Content
Certain artifacts, including Nightlys event artifacts, allow registered owners to upload photos and short videos to a shared event archive.
- Your license to us. By uploading, you grant TGG a worldwide, royalty-free, non-exclusive license to host, store, reproduce, reformat, create thumbnails of, and display your uploaded content within the event archive and the Chamber, and to remove it at our discretion.
- You represent that you created the content or otherwise have all rights and permissions needed to grant this license, and that your upload does not violate any person's privacy, publicity, intellectual property, or other rights.
- Uploads are reviewed before display. We may approve, reject, or remove any upload at our sole discretion, without notice or explanation, and we have no obligation to display or retain any upload.
- Do not upload content that is unlawful, infringing, sexually explicit, hateful, or that violates any person's privacy or publicity rights.
Prohibited Conduct
- Tampering with, reprogramming, cloning, or extracting keys from any NFC chip embedded in a TGG artifact.
- Circumventing, reusing, or forging tap tokens, upload tokens, verification codes, or any other access credential.
- Registering counterfeit artifacts or misrepresenting an artifact's authenticity.
- Scraping, bulk-harvesting, or systematically extracting Ledger or Registrar data.
- Interfering with the operation or security of the Registrar System.
Physical Artifacts; No Investment
These Terms do not warrant physical goods; physical product warranties, if any, are governed by the terms of the seller from whom you purchased. We make reasonable efforts to ensure NFC and QR functionality over the life of an artifact but do not warrant that any chip or printed code will function indefinitely.
Artifacts are collectibles, not investments. TGG makes no representation about the present or future monetary value of any artifact, and nothing in the Registrar System, the Ledger, or our marketing is investment advice or a promise of appreciation, liquidity, or resale market.
Service Availability and Changes
We may modify features of the Registrar System. We intend the Ledger and registration records to persist indefinitely and have designed the system for longevity; however, we cannot guarantee uninterrupted availability.
Intellectual Property
The Giving Groove, the Ledger, the Chamber, taptaps, Nightlys, and associated logos and trade dress are trademarks or protected works of TGG or its licensors. No license to any TGG mark or to any artist's name, likeness, or trademarks is granted by these Terms.
Copyright Complaints
If you believe content in an event archive or elsewhere in the Registrar System infringes your copyright, send a notice meeting the requirements of 17 U.S.C. 512(c)(3) to our designated agent:

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TGG'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE REGISTRAR SYSTEM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TGG IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) US $100. Changes to These Terms
We may update these Terms. Material changes will be reflected in the effective date on this page, and continued use of the Registrar System after changes take effect constitutes acceptance. Changes will not retroactively alter the permanence of existing Ledger entries or the non-recoverability of Passkeys.
